1. Introduction and Acceptance

Welcome to MatchAI. These Terms of Service ("Terms") constitute a legally binding agreement between you and MatchAI ("MatchAI," "we," "us," or "our") governing your access to and use of the MatchAI platform, including our website, mobile applications, and any associated services (collectively, the "Platform").

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, Content Guidelines, and Content Removal Policy. If you do not agree to these Terms, you must not access or use the Platform.

IMPORTANT: These Terms contain a binding arbitration agreement and class action waiver (Section 13) that affect your legal rights. Please read them carefully.

2. Eligibility

The Platform is intended solely for users who are at least 18 years of age. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are under 18, you are strictly prohibited from accessing or using the Platform, creating an account, or participating in any MatchAI communities.

We reserve the right to terminate accounts and deny access to anyone we reasonably believe to be under 18. Misrepresenting your age constitutes a material breach of these Terms and may result in immediate account termination.

3. Third-Party Partners and Affiliates

MatchAI integrates with various third-party partners and affiliates to provide character interactions and models. By using MatchAI, you acknowledge and agree that your interactions with specific characters may be subject to additional terms of service and privacy policies enforced by those respective third-party platforms. MatchAI's terms apply in addition to, not in place of, these partner policies.

4. AI-Generated Content Disclaimer

All content on the MatchAI Platform, including character interactions, text responses, images, and personas, is generated by artificial intelligence systems. This content is provided for entertainment purposes only and does not constitute professional, medical, legal, financial, psychological, or any other form of advice.

MatchAI does not control, monitor, or assume responsibility for the AI-generated responses produced by partner platforms during your interactions. You acknowledge that such responses are generated by third-party AI systems and may contain inaccuracies, offensive material, hallucinations, or content that does not reflect MatchAI's views or values.

You agree that you will not rely on any AI-generated content for decisions that could affect your health, safety, legal rights, or financial well-being.

5. Account Registration and Security

5.1 Account Creation
To access certain features of the Platform, you must create an account. When registering, you agree to provide accurate, current, and complete information and to update such information as necessary to maintain its accuracy.

5.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

6. License and Platform Access

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial purposes. This license does not include the right to sublicense, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Platform.

We reserve the right to modify, suspend, or discontinue the Platform (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform.

7. User Content

"User Content" means any text, characters, images, audio, video, or other materials you submit, post, or transmit through the Platform. You retain ownership of your User Content, subject to the licenses granted herein. By submitting User Content, you grant MatchAI a worldwide, non-exclusive, royalty-free license to use such content in connection with operating and improving the Platform.

8. Prohibited Content and Conduct

You agree not to submit, post, or transmit any content that:

  • Depicts, promotes, or facilitates the sexualization of minors in any form;
  • Contains any depiction of individuals under 18 years of age;
  • Promotes or constitutes human trafficking;
  • Depicts gore, bestiality, or sexual violence;
  • Is illegal or advocates for illegal activity;
  • Promotes terrorism, violent extremism, or political violence;
  • Encourages, depicts, or instructs on self-harm or suicide;
  • Contains hate speech, promotes discrimination, or incites violence;
  • Harasses, bullies, intimidates, or threatens any person;
  • Discloses personal or private information about others without consent ("doxxing");
  • Infringes any intellectual property or proprietary rights;
  • Contains spam, malware, or deceptive content;
  • Attempts to circumvent, disable, or interfere with any security, access-control, or rate-limiting features of the Platform.

9. Termination

We may suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, fraudulent or illegal activity, extended periods of inactivity, or requests by law enforcement.

Upon termination, your right to use the Platform will immediately cease. Sections 4, 7, 8, 10, 11, 12, 13, 14, and 15 shall survive any termination of these Terms.

10. Disclaimers and Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, MATCHAI DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MATCHAI, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.

IN NO EVENT SHALL MATCHAI'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO MATCHAI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) TWENTY-FIVE EUROS (€25).

11. Indemnification

You agree to indemnify, defend, and hold harmless MatchAI, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Platform or any activity under your account;
  • Your violation of these Terms or any applicable law or regulation;
  • Your User Content or any content you submit, post, or transmit through the Platform;
  • Your infringement of any intellectual property or other right of any person or entity;
  • Any claim by a third party arising from your interactions with AI-generated content on the Platform or through our partner platforms.

12. Governing Law and Jurisdiction

These Terms and any dispute arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of the Portuguese Republic, without regard to its conflict-of-law provisions.

Subject to the arbitration provisions in Section 13, the courts of Porto, Portugal shall have exclusive jurisdiction over any disputes arising under or in connection with these Terms.

If you are a consumer residing in the European Union, you may also be entitled to bring proceedings in the courts of your country of residence in accordance with applicable EU consumer protection law.

13. Dispute Resolution and Arbitration

13.1 Informal Resolution
Before initiating any formal dispute resolution, you agree to first contact us at terms@matchai.now and attempt to resolve the dispute informally for at least thirty (30) days.

13.2 Binding Arbitration
If the dispute cannot be resolved informally, you and MatchAI agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved by binding arbitration administered under the rules of the Centro de Arbitragem Comercial (Commercial Arbitration Centre) of Porto, Portugal, or another mutually agreed arbitration body. The arbitration shall be conducted in English, and the seat of arbitration shall be Porto, Portugal.

13.3 Class Action Waiver
YOU AND MATCHAI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class or representative proceeding.

13.4 Opt-Out
You may opt out of this arbitration agreement by sending written notice to terms@matchai.now within thirty (30) days of first accepting these Terms. Your notice must include your full name, account username, and a clear statement that you wish to opt out of the arbitration agreement.

14. Modifications to These Terms

We reserve the right to modify these Terms at any time at our sole discretion. If we make material changes, we will notify you by updating the "Last Updated" date at the top of these Terms and, where appropriate, providing additional notice (such as an in-app notification or email).

Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Platform and close your account.
